3.1 Not a Substitute for Medical Advice
Information presented through our website, educational programs, facilitator training, curriculum, participant workbooks, digital resources, and other materials is not intended to replace professional medical advice, diagnosis, or treatment.
Participants should consult a qualified healthcare professional regarding personal health concerns, symptoms, screening recommendations, medical conditions, or treatment decisions. Individuals should not disregard or delay seeking professional medical advice because of information obtained through our programs or materials.
3.2 No Medical Diagnosis or Treatment

3.3 Facilitator Responsibilities and Professional Boundaries
Individuals completing the Rhythm of the Heart™ Facilitator Academy are trained to deliver the program's educational content within the scope of their certification, applicable licensing agreements, and professional qualifications.
Facilitator certification does not confer medical licensure, authorize individuals to diagnose or treat medical conditions, or expand an individual's existing professional scope of practice.
Facilitators are expected to communicate health information responsibly, use approved educational materials, respect participant confidentiality, and encourage individuals with personal medical concerns to seek guidance from qualified healthcare professionals.
3.4 Individual Health Decisions and Outcomes
Health information and lifestyle recommendations presented through our programs are general in nature and may not be appropriate for every individual.

The Facilitator Academy is recommended for purchasers who intend to use the Rhythm of the Heart™ curriculum in structured educational settings, including community workshops, professional training, and organizational programming. Purchasing the curriculum or participant workbook independently does not satisfy the Academy's certification requirements.

Rhythm of the Heart™ curriculum guides and participant workbooks are available for purchase by individuals, professionals, educators, organizations, and other interested customers. Completion of the Rhythm of the Heart™ Facilitator Academy is not required to purchase these materials.

The Academy provides structured training on curriculum content, instructional methods, participant engagement, professional boundaries, and effective program delivery.
Purchase of educational materials does not constitute facilitator certification or automatically grant authorization to reproduce, modify, redistribute, resell, or commercially deliver the Rhythm of the Heart™ program. Any additional permissions are governed by the applicable licensing terms or written agreements.
Educational materials may be purchased individually, as bundled products, or as part of designated training and organizational packages. Product descriptions will identify the materials and resources included in each purchase.

Prices for products and services will be displayed on the applicable website, enrollment platform, checkout page, invoice, proposal, or written agreement.
Unless otherwise stated, prices are listed in United States dollars (USD).

5. Rhythm of the Heart™ Facilitator Academy Enrollment and Certification
5.1 Program Overview
The Rhythm of the Heart™ Facilitator Academy is a professional development and training program offered by Uniquely Defined, LLC through Wellness Elevated™.
The Academy is designed to equip educators, healthcare professionals, Extension professionals, community leaders, and other interested individuals with the knowledge, instructional strategies, and resources needed to deliver evidence-informed heart health education through the Rhythm of the Heart™ curriculum.
The Academy emphasizes awareness of Adult Congenital Heart Defects (ACHDs), health literacy, participant engagement, self-advocacy, and effective community education practices.
5.2 Enrollment and Eligibility
Enrollment is available to individuals interested in professional development and community health education, subject to any eligibility requirements specified for the selected training program.
Participants are responsible for providing accurate registration information, maintaining access to their registered email accounts, and completing the training requirements associated with their enrollment.
Enrollment is intended for the registered individual and may not be transferred or shared with another person without prior written authorization from Uniquely Defined, LLC.
5.3 Training Access and Delivery
Participants enrolled in the Rhythm of the Heart™ Facilitator Academy will receive access to the designated online training platform and instructional resources for a period of 12 months from the date of enrollment, unless otherwise specified in a written enrollment agreement.
During this period, participants may review instructional modules, complete required learning activities, and retake assessments as needed to achieve the minimum passing score of 80%.
Upon expiration of the access period, online course access may be discontinued. Participants who have successfully completed certification will retain their earned certification status, subject to the provisions of these Terms & Conditions.
Extensions or additional training access may be offered at the discretion of Uniquely Defined, LLC under separately disclosed terms.
5.4 Certification Requirements
To successfully complete the Rhythm of the Heart™ Facilitator Academy and qualify for certification, participants must:
Complete all required instructional modules and learning activities.
Successfully complete designated quizzes and assessments with a minimum passing score of 80%.
Submit required reflection activities, evaluations, and other program assignments.
Satisfy any additional completion requirements disclosed in the applicable Academy program description.
Participants who do not achieve the minimum required score of 80% may retake the applicable quizzes or assessments an unlimited number of times until they achieve a passing score, subject to their active access to the training platform.
There are no additional fees for quiz retakes unless a separate fee is expressly disclosed and accepted before enrollment.
Enrollment and payment do not automatically guarantee certification. Participants must successfully complete all required training components to qualify for certification.
5.5 Certificate Issuance
Participants who successfully complete all required components of the Facilitator Academy will be eligible to receive a Rhythm of the Heart™ Facilitator Certificate issued by Uniquely Defined, LLC.
Certificates acknowledge successful completion of the designated professional training program.
Facilitator certification is a program-specific credential and does not constitute academic accreditation, professional licensure, or authorization to provide medical diagnosis or treatment.
5.6 Certification and Program Delivery
Successful completion of the Facilitator Academy prepares individuals to deliver the Rhythm of the Heart™ curriculum in accordance with approved program guidelines and applicable licensing requirements.
Certified facilitators are expected to:
Deliver program content accurately and responsibly.
Follow established curriculum guidelines and professional boundaries.
Respect participant privacy and confidentiality.
Use approved program materials and branding.
Encourage participants to seek qualified medical guidance for individual health concerns.
Certification does not automatically authorize reproduction, resale, redistribution, modification, sublicensing, or unlimited commercial use of Rhythm of the Heart™ educational materials.
Specific program delivery permissions are governed by the applicable facilitator license or written agreement.
5.7 Certification Validity and Continuing Education
Rhythm of the Heart™ Facilitator Certification does not expire and does not require mandatory periodic renewal once all certification requirements have been successfully completed.
Certified facilitators are encouraged to participate in periodic professional development opportunities, curriculum updates, and refresher training offered by Uniquely Defined, LLC to maintain familiarity with current educational content and recommended facilitation practices.
Uniquely Defined, LLC may offer optional annual refresher courses or continuing education opportunities. Any future mandatory training requirements associated with active program delivery will be disclosed through the applicable licensing agreement and will not automatically invalidate previously earned certification.
Certification does not guarantee lifetime access to the online training platform or indefinite authorization to deliver the program under a separate license.
5.8 Program Changes and Availability
Uniquely Defined, LLC may update future training schedules, course offerings, instructional materials, and certification requirements to maintain program quality and educational relevance.
Material changes affecting currently enrolled participants will be communicated as appropriate and handled in accordance with the applicable enrollment terms.
Updates to the Academy will not automatically invalidate previously earned certifications.
Refunds, cancellations, and other purchase-related matters are governed by the applicable provisions of these Terms & Conditions.
6. Individual Facilitator Licensing and Authorized Program Use
6.1 Purpose of Facilitator Licensing
Rhythm of the Heart™ is a proprietary educational program offered by Uniquely Defined, LLC through Wellness Elevated™.
Individual facilitator licensing establishes the terms under which authorized individuals may deliver the Rhythm of the Heart™ curriculum, use designated educational materials, and represent themselves as approved program facilitators.
Facilitator certification and program licensing are separate. Certification recognizes successful completion of the Rhythm of the Heart™ Facilitator Academy, while licensing establishes the permissions granted for program implementation and use of protected educational materials.
6.2 Eligibility for Individual Facilitator Licensing
Individuals who successfully complete the Rhythm of the Heart™ Facilitator Academy may be eligible to receive an individual facilitator license upon acceptance of the applicable licensing terms.
Individual facilitator licenses are issued to a designated person and may not be transferred, assigned, or shared without prior written authorization from Uniquely Defined, LLC.
Purchase of the Rhythm of the Heart™ curriculum or participant workbook does not require facilitator certification. However, purchasing educational materials alone does not confer certification or automatically establish an individual facilitator license.
6.3 Authorized Program Delivery
Individuals holding an active facilitator license may deliver approved Rhythm of the Heart™ educational sessions in community settings in accordance with program guidelines and licensing requirements.
Under the standard individual facilitator license, authorized facilitators may:
Deliver approved Rhythm of the Heart™ educational sessions at no charge to participants.
Use designated curriculum materials and instructional resources for authorized program activities.
Identify themselves as Rhythm of the Heart™ Certified Facilitators, provided their certification remains in good standing.
Promote approved educational sessions using authorized program descriptions and branding.
Incorporate the program into community education activities within the scope of their individual license.
Print and distribute designated participant handouts for authorized educational sessions, subject to the reproduction restrictions outlined below.
The standard individual facilitator license does not authorize facilitators to charge registration fees, participation fees, or other fees for attendance at Rhythm of the Heart™ educational sessions.
Any fee-based program delivery, commercial training, or other compensated use of the curriculum requires separate written authorization or an applicable commercial or organizational licensing agreement with Uniquely Defined, LLC.
6.4 Reproduction and Distribution of Participant Materials
Authorized facilitators may reproduce and distribute approved participant handouts specifically designated by Uniquely Defined, LLC for use during authorized Rhythm of the Heart™ educational sessions.
This permission is limited to materials identified as reproducible for program delivery and does not extend to the complete curriculum, facilitator guide, participant workbook, training videos, or other protected resources unless expressly authorized in writing.
Facilitators must retain applicable copyright notices, program acknowledgments, and branding on reproduced materials.
Approved handouts may not be sold independently, altered for commercial distribution, uploaded to public websites, or distributed outside authorized program activities without prior written permission.
6.5 Restrictions on Curriculum and Intellectual Property Use
Unless expressly authorized in writing, facilitators and purchasers may not:
Reproduce, scan, distribute, sell, or commercially share protected curriculum materials beyond the permissions expressly granted.
Upload curriculum guides, participant workbooks, training videos, or other protected resources to publicly accessible websites or unauthorized learning platforms.
Modify, rebrand, or create derivative versions of the official curriculum for distribution or commercial use.
Sublicense or transfer program materials or delivery rights to another individual or organization.
Represent themselves as the creator, owner, or official licensing authority for Rhythm of the Heart™.
Issue Rhythm of the Heart™ Facilitator Academy certifications or authorize others to use the program.
Charge participants for official Rhythm of the Heart™ educational sessions without separate written authorization.
All rights not expressly granted remain reserved by Uniquely Defined, LLC or the applicable rights holder.
6.6 Professional Responsibilities and Program Integrity
Authorized facilitators are responsible for delivering educational content accurately, maintaining appropriate professional boundaries, and following applicable program guidelines.
Facilitators must not present the program as a medical diagnostic service, offer individualized medical treatment beyond their professional qualifications, or make unsupported claims regarding health outcomes.
Facilitators are expected to use current approved educational materials, respect participant confidentiality, and accurately represent their relationship with Rhythm of the Heart™ and Uniquely Defined, LLC.
6.7 Individual Licensing Term and Annual Renewal
The standard Rhythm of the Heart™ individual facilitator license is valid for one year from its effective date, unless otherwise specified in a written licensing agreement.
To continue delivering the official Rhythm of the Heart™ program after the license expires, facilitators must complete the applicable annual license renewal process.
Renewal requirements, fees, payment deadlines, and any updated licensing conditions will be communicated before renewal.
Renewal is not automatic unless the facilitator has expressly agreed to an automatic renewal arrangement under separately disclosed terms.
Failure to renew an individual facilitator license will result in the expiration of the facilitator's authorization to deliver the official Rhythm of the Heart™ program under that license.
Expiration of a facilitator license does not invalidate previously earned Rhythm of the Heart™ Facilitator Certification.
6.8 Certification Versus Licensing
Rhythm of the Heart™ Facilitator Certification does not expire and does not require periodic recertification once all Academy requirements have been successfully completed.
However, individuals wishing to continue delivering the official Rhythm of the Heart™ program must maintain an active individual facilitator license or other applicable authorization.
A facilitator whose license has expired may continue to accurately represent their completed training and earned certification but may not represent themselves as currently authorized to deliver the official program unless a valid license or other written authorization is in place.
6.9 Suspension or Termination of Licensing Rights
Uniquely Defined, LLC may suspend or terminate individual licensing rights for material violations of the applicable licensing agreement, unauthorized distribution of educational materials, misrepresentation of program affiliation, unauthorized fee-based delivery, or other substantial breaches of established program requirements.
Any suspension or termination will be handled in accordance with the applicable licensing agreement and governing law.
Upon termination or expiration of a license, the facilitator must discontinue activities requiring an active license and cease using protected materials or branding except as otherwise authorized in writing.
6.10 Organizational Use
An individual facilitator license does not automatically grant an employer, institution, agency, or other organization the right to reproduce, distribute, sublicense, or independently administer Rhythm of the Heart™.
Organizations seeking broader implementation rights, including fee-based programming, multi-facilitator delivery, or institution-wide use, must obtain the applicable written authorization or organizational licensing agreement from Uniquely Defined, LLC.
Individual facilitators working within organizations must ensure that their program activities are consistent with both their individual licensing terms and any applicable organizational agreement.
7. Organizational Training and Licensing
7.1 Organizational Licensing Overview
Uniquely Defined, LLC offers organizational training and licensing opportunities through Wellness Elevated™ for institutions, agencies, businesses, and community organizations interested in implementing Rhythm of the Heart™ as part of their educational programming.
Eligible organizations may include universities, Cooperative Extension systems, healthcare organizations, nonprofit agencies, community-based organizations, professional associations, and other entities seeking to advance heart health awareness and community education.
Organizational licensing provides a structured framework for authorized program implementation, facilitator training, curriculum use, and educational outreach.
All organizational licensing arrangements are subject to a separate written agreement with Uniquely Defined, LLC.
7.2 Scope of Organizational Licensing
Depending on the selected licensing arrangement, an organizational license may include:
Authorization to deliver approved Rhythm of the Heart™ educational sessions within the designated organization or geographic area.
Access to designated curriculum materials and program implementation resources.
A specified number of training seats in the Rhythm of the Heart™ Facilitator Academy.
Permission to reproduce and distribute approved participant handouts for authorized educational sessions.
Program implementation guidance and technical assistance, as specified in the agreement.
Access to curriculum updates and supplemental educational resources, when included in the agreement.
The specific rights and resources provided will be identified in the applicable organizational licensing agreement.
Organizational licensing does not automatically grant unlimited access, reproduction rights, or authorization to use the program beyond the agreed scope.
7.3 Authorized Organizations, Locations, and Facilitators
Organizational licenses apply only to the institution, agency, department, county, campus, location, or other organizational unit expressly identified in the applicable agreement.
The agreement will specify the authorized scope of implementation, including any designated geographic areas, participating locations, departments, or program sites.
Organizations are responsible for identifying individuals who will deliver Rhythm of the Heart™ educational sessions and ensuring that those individuals satisfy applicable training, certification, and licensing requirements.
An organizational license does not automatically authorize all employees, volunteers, contractors, or affiliated agencies to deliver the program.
Additional facilitators, sites, departments, or participating organizations may require written approval or an amendment to the existing agreement.
7.4 Facilitator Training and Certification
Organizational licensing agreements will include a specified number of training seats in the Rhythm of the Heart™ Facilitator Academy.
The number of included seats, enrollment procedures, and any additional training fees will be identified in the applicable agreement.
Designated facilitators must successfully complete the required Facilitator Academy training and certification requirements before independently delivering the official Rhythm of the Heart™ program, unless otherwise expressly authorized in writing.
Successful completion of the Facilitator Academy results in individual certification in accordance with Section 5 of these Terms & Conditions.
Organizational licensing does not automatically confer individual facilitator certification on employees, representatives, or other participants.
7.5 Educational Materials and Reproduction Rights
Organizations may use and reproduce only those Rhythm of the Heart™ educational materials expressly authorized under their licensing agreement.
Permission to reproduce approved participant handouts may be included for authorized educational sessions.
Unless otherwise specified in writing, organizational licensing does not permit:
Reproduction or redistribution of complete curriculum guides or participant workbooks.
Sale or commercial distribution of protected educational materials.
Uploading protected materials to public websites or unauthorized digital platforms.
Modification, rebranding, or creation of derivative versions of the official curriculum.
Sharing licensed materials with unaffiliated organizations or individuals.
Issuing Rhythm of the Heart™ Facilitator Academy certifications independently.
All educational materials, trademarks, and other protected intellectual property remain subject to the ownership and usage rights established by Uniquely Defined, LLC and the applicable rights holder.
7.6 Program Delivery and Commercial Authorization
Organizations holding an active Rhythm of the Heart™ organizational license may deliver approved educational sessions within the scope of their written agreement.
Organizations may offer free community education sessions under their organizational license, subject to the agreement's terms.
Organizations seeking to charge registration fees, collect participation fees, offer fee-based workshops, or otherwise generate revenue directly through Rhythm of the Heart™ program delivery must obtain express written commercial authorization from Uniquely Defined, LLC.
Commercial authorization may be included in the original organizational licensing agreement or granted through a separate written amendment.
Unless expressly authorized, an organizational license does not permit fee-based program delivery, resale of educational materials, or commercial sublicensing of the curriculum.
7.7 Licensing Fees, Duration, and Annual Renewal
The standard Rhythm of the Heart™ organizational license is valid for one year from its effective date, unless otherwise expressly agreed in writing.
Organizational licenses are renewable annually, subject to the applicable renewal requirements, fees, and updated licensing conditions.
Licensing fees may vary based on the scope of implementation, number of authorized facilitators, participating locations, training requirements, and additional services requested.
The applicable organizational licensing agreement will identify:
Licensing fees and payment terms.
The effective date and expiration date.
The number of included Facilitator Academy training seats.
Authorized locations, departments, and facilitators.
Permitted program delivery activities.
Any approved commercial authorization.
Annual renewal requirements and applicable fees.
Organizational licenses do not automatically renew unless the organization has expressly agreed to an automatic renewal arrangement under separately disclosed terms.
Continued program delivery after license expiration requires renewal or other written authorization from Uniquely Defined, LLC.
7.8 Program Integrity and Organizational Responsibilities
Organizations implementing Rhythm of the Heart™ are responsible for maintaining program integrity and ensuring that authorized facilitators deliver educational content in accordance with approved program guidelines.
Organizations must ensure that program activities are presented as educational services rather than medical diagnostic or treatment services.
Organizations are responsible for complying with applicable laws, maintaining appropriate participant privacy practices, and obtaining any permissions or approvals required for their activities.
7.9 Program Evaluation and Reporting
Organizational licensees may be required to participate in program evaluation, implementation reporting, or other quality improvement activities when such requirements are expressly included in the applicable organizational licensing agreement.
Any required evaluation tools, reporting procedures, submission schedules, and permitted uses of collected information will be established in the agreement.
Organizations are not required to submit routine program implementation or evaluation reports unless such reporting is specifically required by their written licensing agreement.
Organizations must comply with applicable privacy and confidentiality requirements when collecting, maintaining, or sharing participant information.
7.10 Suspension, Termination, and Expiration
Uniquely Defined, LLC may suspend or terminate organizational licensing rights for material violations of the applicable agreement, unauthorized use or distribution of protected educational materials, misrepresentation of program affiliation, unauthorized commercial program delivery, or other substantial breaches of licensing requirements.
Any suspension or termination will be handled in accordance with the applicable agreement and governing law.
Upon expiration or termination, the organization must discontinue activities requiring an active license and cease unauthorized use of protected materials and branding.
Previously earned individual facilitator certifications are not automatically invalidated by expiration or termination of an organizational license.
7.11 Separate Organizational Licensing Agreement
All organizational training and licensing arrangements require a written agreement identifying the specific rights, responsibilities, fees, duration, and conditions applicable to the organization.
Where the organizational licensing agreement conflicts with these general Terms & Conditions, the executed organizational agreement will govern the matters addressed by that agreement.

Applicable shipping charges and fulfillment conditions will be communicated before completing the transaction.
8.7 Damaged, Incorrect, or Incomplete Orders

Any additional information reasonably necessary to review the concern.
Uniquely Defined, LLC will review reported concerns and determine an appropriate resolution, which may include replacement, correction, refund, or another applicable remedy.
The seven-day reporting period is intended to facilitate timely customer service and does not limit or waive any rights or remedies available under applicable consumer protection laws.
8.8 Product Ownership and Permitted Use

Purchase of a digital product grants only the usage rights expressly provided in the applicable product description, license, or agreement.
Customers may use purchased materials for personal education, professional reference, and other uses permitted by applicable law or expressly authorized by Uniquely Defined, LLC.

Additional reproduction, distribution, program delivery, or commercial usage rights are governed by Sections 6 and 7 and any applicable written licensing agreement.
Refunds, returns, and exchanges are governed by the applicable provisions of these Terms & Conditions and any additional policies disclosed before purchase.

Uniquely Defined, LLC may contact purchasers to verify transaction details or resolve payment discrepancies.
Transactions involving suspected fraud, unauthorized payment activity, or materially inaccurate billing information may be delayed, declined, or canceled as permitted by applicable law.
9.7 Taxes and Additional Charges
Applicable sales taxes, shipping charges, processing fees, and other required charges will be disclosed before a transaction is completed, where applicable.
Customers and organizations claiming tax-exempt purchasing status may be required to provide valid documentation before an exemption is applied.
Tax treatment will be determined in accordance with applicable laws and the nature of the product or service purchased.
9.8 Payment Confirmation and Receipts
Customers will generally receive an electronic receipt, payment confirmation, or invoice documenting their transaction.
Receipts or confirmations may include purchased products or services, payment amounts, applicable taxes and shipping charges, and relevant fulfillment information.
Customers should retain their transaction records for reference and contact Uniquely Defined, LLC if they identify an error.
9.9 Failed Payments and Outstanding Balances
If a payment is declined, reversed, or remains unpaid, Uniquely Defined, LLC may withhold delivery, delay enrollment activation, or suspend access to products or services associated with the unpaid amount, subject to applicable law and contractual obligations.
For organizational agreements, outstanding balances will be addressed according to the payment terms established in the applicable invoice or executed agreement.
Any late fees, interest charges, or collection-related costs will apply only when expressly disclosed and legally permitted.
9.10 Payment Disputes and Chargebacks
Customers who believe a payment was processed incorrectly are encouraged to contact Uniquely Defined, LLC promptly to request a review.
Uniquely Defined, LLC may request reasonable documentation to investigate billing concerns and may respond to payment disputes through the applicable payment processor.
Nothing in these Terms & Conditions limits a customer's lawful right to dispute unauthorized or incorrect charges.
9.11 Refunds, Cancellations, and Payment Adjustments
Refunds, returns, exchanges, cancellations, and payment adjustments are governed by the applicable refund and cancellation policies disclosed at the time of purchase and described in Section 10 of these Terms & Conditions.
Any separately executed service or licensing agreement may establish additional payment and cancellation requirements applicable to that transaction, subject to applicable law.
10. Refunds, Returns, Cancellations, and Exchanges
10.1 General Refund Policy
Uniquely Defined, LLC is committed to providing quality educational products, professional training, and services through Wellness Elevated™ and Rhythm of the Heart™.
Refunds, returns, exchanges, and cancellations are governed by the conditions outlined in this section and any additional terms disclosed before purchase or established in a separate written agreement.
Customers are encouraged to review product descriptions, training requirements, program information, and applicable policies before completing a transaction.
Nothing in this policy limits or waives any rights or remedies available under applicable law.
10.2 Printed Curriculum Guides and Participant Workbooks
Customers may request a return of printed Rhythm of the Heart™ curriculum guides, participant workbooks, and other eligible printed educational materials within fourteen (14) calendar days of delivery.
To qualify for a discretionary return, products must be unused, in their original condition, and free from writing, highlighting, damage, or other signs of use.
Customers must contact Uniquely Defined, LLC within the 14-day return period to request return authorization and instructions.
Unless otherwise agreed in writing, customers are responsible for return shipping costs associated with discretionary returns.
Original shipping charges are generally nonrefundable, except when required by law or when a return results from an error attributable to Uniquely Defined, LLC.
Approved refunds for eligible returned materials will be issued after the returned products have been received and inspected.
10.3 Damaged, Defective, Incorrect, or Incomplete Orders
Customers should inspect printed products upon delivery and report any damaged, defective, incorrect, or incomplete orders within seven (7) calendar days of delivery, consistent with Section 8.
Customers should provide their order number, a description of the issue, and supporting photographs when applicable.
Following review, Uniquely Defined, LLC may provide a replacement, exchange, correction, refund, or other appropriate resolution.
Customers will not be responsible for additional shipping charges required to correct a fulfillment error attributable to Uniquely Defined, LLC.
The seven-day reporting period is intended to facilitate prompt resolution and does not limit any rights provided by applicable law.
10.4 Digital Products and Downloadable Materials
Due to the nature of electronically delivered educational materials, digital products are generally nonrefundable once access has been provided or the product has been downloaded, except where required by applicable law.
Customers experiencing technical difficulties accessing purchased digital products should contact Uniquely Defined, LLC for assistance.
If a purchased digital product cannot be delivered or accessed as represented, the Company will review the issue and provide an appropriate resolution.
10.5 Facilitator Academy Enrollment and Certification
Participants enrolled in the Rhythm of the Heart™ Facilitator Academy may request a full refund within seven (7) calendar days of enrollment and purchase, provided they have not accessed the training content.
For purposes of this policy, accessing training content includes opening instructional modules, viewing course lessons, downloading protected training resources, or beginning course assessments.
Accessing an enrollment confirmation, payment receipt, or basic account setup instructions does not, by itself, constitute accessing training content.
Once a participant has accessed the training content, enrollment fees are generally nonrefundable, except where required by applicable law.
Refund requests submitted after the seven-day period are generally not eligible for a discretionary refund, even if the participant has not accessed the training.
Failure to complete the Academy, pass certification assessments, or use the available training access does not automatically entitle a participant to a refund.
Approved refunds will result in cancellation of the associated enrollment and training access.
10.6 Individual Facilitator Licensing
Fees paid for individual Rhythm of the Heart™ facilitator licensing or annual license renewal are generally nonrefundable once the applicable license has been activated, unless otherwise stated in writing or required by law.
A facilitator's decision not to deliver educational sessions during an active licensing period does not automatically entitle the facilitator to a refund.
Cancellation, expiration, and termination of individual licensing rights remain subject to Section 6 and the applicable licensing agreement.
10.7 Organizational Training and Licensing
Refunds, cancellations, and payment adjustments for organizational training and licensing arrangements are governed by the applicable written organizational licensing agreement.
Organizational agreements may establish terms relating to licensing fees, included Facilitator Academy training seats, program implementation expenses, cancellation conditions, and payments for services already provided.
Unless otherwise specified in writing, termination of an organizational license does not automatically entitle the organization to a refund for services already delivered or licensing rights already made available.
Any applicable refund or credit will be determined according to the executed agreement and applicable law.
10.8 Workshops, Speaking Engagements, and Professional Services
Workshops, speaking engagements, professional presentations, and independently contracted educational services generally require a deposit equal to fifty percent (50%) of the agreed service fee, as described in Section 9.
The deposit reserves the scheduled date and supports advance planning and preparation.
If a client requests cancellation or rescheduling, the deposit may be applied as a credit toward one (1) rescheduled engagement, subject to availability and the following conditions:
The rescheduling request must be submitted in writing.
The alternative date must be mutually agreed upon by the client and Uniquely Defined, LLC.
The deposit credit may be applied to one rescheduled engagement only.
Any additional costs associated with the rescheduled engagement must be approved by the client.
The deposit credit is not redeemable for cash solely because the client elects not to proceed with the engagement, except where required by law or otherwise agreed in writing.
If an alternative date cannot be agreed upon, the disposition of the deposit and any remaining payment obligations will be governed by the applicable service agreement and law.
If Uniquely Defined, LLC cancels an engagement and the parties cannot agree upon an alternative date, the client will receive a refund of payments made for services not provided, including any unused deposit, subject to applicable law.
10.9 Conference and In-Person Purchases
Printed educational materials purchased at conferences, professional meetings, exhibitions, workshops, and other in-person events are eligible for return under the Company's standard 14-day unused-materials return policy, unless a different lawful policy was clearly disclosed before purchase.
For in-person purchases, the 14-day return period begins on the date the customer receives the product.
Customers should retain their purchase receipts or transaction confirmations.
Event-specific promotions, discounted bundles, or special purchase conditions will be disclosed before the transaction is completed.
10.10 Refund Processing
Approved refunds will be issued to the original payment method whenever available.
Refunds will generally be initiated within ten (10) business days after approval or, for eligible physical returns, after the returned items have been received and inspected.
The time required for funds to appear in the customer's account may vary depending on the payment processor or financial institution.
If the original payment method is unavailable, Uniquely Defined, LLC will arrange an appropriate alternative refund method consistent with applicable law.
10.11 How to Request a Refund, Return, Exchange, or Cancellation
Customers seeking assistance with a refund, return, exchange, or cancellation should contact Uniquely Defined, LLC using the customer service contact information published on the Company's website.
Requests should include:
Purchaser's name and contact information.
Order or invoice number, when available.
Date of purchase or enrollment.
Product or service purchased.
Brief explanation of the request.
Uniquely Defined, LLC will review requests in accordance with the applicable policy, purchase terms, written agreement, and governing law.
11. Intellectual Property, Copyright, and Trademark Protection
11.1 Ownership of Intellectual Property
Unless otherwise expressly indicated, the original educational content, curriculum materials, instructional resources, website content, graphics, designs, training materials, and other intellectual property developed and published by Uniquely Defined, LLC through Wellness Elevated™ and Rhythm of the Heart™ are owned by Uniquely Defined, LLC.
Protected materials include, but are not limited to:
Rhythm of the Heart™ curriculum guides and participant workbooks.
Rhythm of the Heart™ Facilitator Academy instructional modules, presentations, assessments, and training resources.
Educational handouts, worksheets, activity guides, and program implementation tools.
Original written content, illustrations, graphics, photographs, and audiovisual materials.
Program logos, branding elements, and promotional materials.
Original educational frameworks and other protectable creative content.
These materials are protected to the extent provided by applicable copyright, trademark, and other intellectual property laws.
Third-party materials remain the property of their respective owners.
All rights not expressly granted are reserved.
11.2 Copyright Protection
Uniquely Defined, LLC holds the copyright to the original Rhythm of the Heart™ curriculum and related educational materials, subject to any applicable third-party rights.
Except as permitted by law or expressly authorized in writing, users may not:
Reproduce or distribute protected curriculum guides, participant workbooks, or training materials.
Upload protected materials to public websites, file-sharing platforms, or unauthorized learning management systems.
Sell, sublicense, or commercially distribute protected educational content.
Remove or alter copyright notices, attribution statements, or other proprietary markings.
Modify, adapt, or distribute derivative versions of protected materials without authorization.
Record, reproduce, or redistribute protected Facilitator Academy instructional content.
Purchasing a product or accessing a training program does not transfer ownership of the underlying copyrighted material.
11.3 Trademark and Brand Protection
Rhythm of the Heart™ is a brand associated with educational products, training programs, and community education services offered by Uniquely Defined, LLC.
A trademark application for Rhythm of the Heart™ is pending. Accordingly, the Company uses the ™ designation in connection with the name and associated branding.
The Rhythm of the Heart™ name, logos, and other applicable brand identifiers may not be used in a manner that falsely suggests certification, sponsorship, endorsement, affiliation, or authorization by Uniquely Defined, LLC.
No purchase, enrollment, certification, or website access grants unrestricted rights to use the Company's trademarks or branding.
Use of Rhythm of the Heart™ branding must comply with applicable brand guidelines and written licensing permissions.
The Company reserves the right to update trademark notices and branding requirements as its intellectual property rights develop.
11.4 Purchase of Educational Materials
Rhythm of the Heart™ curriculum guides and participant workbooks are available for purchase without requiring Facilitator Academy certification.
Purchase of a printed educational product transfers ownership of the physical copy but does not transfer copyright ownership, trademark rights, or program licensing rights.
Purchasers may read, study, and reference their materials for lawful personal, educational, and professional purposes.
Purchase alone does not authorize an individual or organization to represent themselves as a certified Rhythm of the Heart™ facilitator, reproduce protected materials for distribution, or deliver the official branded program without the required authorization.
11.5 Facilitator Academy Content and Certification
Enrollment in the Rhythm of the Heart™ Facilitator Academy provides limited, personal, nontransferable access to designated training content for the applicable access period.
Academy participants may use training materials for their own learning and authorized professional development.
Participants may not share login credentials, distribute protected training resources, reproduce course assessments, or provide unauthorized access to Academy materials.
Successful completion of the Facilitator Academy grants the individual the applicable certification status but does not transfer ownership of any curriculum, instructional materials, trademarks, or other intellectual property.
Facilitator certification does not expire under the Company's current certification policy. However, authorization to deliver the official branded program remains subject to applicable licensing requirements.
11.6 Licensed Facilitator Use
Individuals holding an active Rhythm of the Heart™ facilitator license may use approved program materials and branding only within the scope of their authorized license.
Licensed facilitators may reproduce approved participant handouts for authorized educational sessions as permitted by Section 6 and their licensing terms.
Unless separately authorized in writing, facilitators may not reproduce entire curriculum guides or participant workbooks, distribute protected materials outside authorized sessions, or use the program for unauthorized commercial activities.
Facilitators must preserve required copyright notices, acknowledgments, and program attribution when using approved materials.
11.7 Organizational Co-Branding
Authorized facilitators and licensed organizations may include their organization's name or logo on approved Rhythm of the Heart™ participant handouts, provided the original Rhythm of the Heart™ branding remains visible and intact.
Co-branding must comply with the Company's approved brand guidelines and any applicable licensing agreement.
Organizations and facilitators may not remove or replace the Rhythm of the Heart™ name, logo, copyright notice, or other required attribution.
Co-branding does not create ownership rights in the curriculum or imply a partnership, sponsorship, or endorsement beyond the relationship expressly authorized by Uniquely Defined, LLC.
Permission to co-brand approved participant handouts does not extend to curriculum guides, participant workbooks, Facilitator Academy materials, or other protected resources unless separately authorized in writing.
11.8 Organizational Use and Licensing
Organizations seeking to implement Rhythm of the Heart™ must obtain the appropriate organizational authorization under Section 7 and the applicable written licensing agreement.
Organizational licensing may authorize designated facilitators, approved locations, educational sessions, and limited reproduction of participant resources.
An organizational license does not transfer ownership of the curriculum or grant unrestricted rights to reproduce, modify, sell, sublicense, or distribute protected materials.
Any authorization for commercial program delivery, expanded distribution, additional training seats, or use of protected materials beyond the standard license must be expressly documented in writing.
11.9 Modifications, Translations, and Curriculum Adaptations
Translation, substantial modification, adaptation, rebranding, or development of customized versions of protected Rhythm of the Heart™ curriculum materials requires prior written approval from Uniquely Defined, LLC, except where otherwise permitted by applicable law.
Requests may include:
Translation of curriculum materials into additional languages.
Substantial modification of instructional content or activities.
Development of adapted curriculum editions.
Integration of protected curriculum content into another branded educational program.
Distribution of customized or derivative program materials.
Approval may be subject to additional licensing conditions, attribution requirements, quality standards, or fees.
No translation or adaptation may be represented as an official Rhythm of the Heart™ program resource without the Company's written authorization.
11.10 Research, Academic, and Professional References
Users may appropriately reference Rhythm of the Heart™ and related educational materials in scholarly publications, presentations, professional discussions, and other lawful activities, subject to applicable copyright and attribution requirements.
Academic citation, commentary, and other uses permitted by law do not require a program delivery license solely because the program is referenced.
However, scholarly or professional acknowledgment does not authorize reproduction of substantial protected content, unauthorized use of trademarks, or delivery of the official branded program.
Where appropriate, users should identify the program title, credited author or creator, publication information, and Uniquely Defined, LLC as the copyright owner or publisher.
11.11 Third-Party Materials
Certain educational resources may include properly licensed, attributed, or otherwise lawfully used third-party materials.
Such materials remain subject to the intellectual property rights and usage conditions of their respective owners.
Nothing in these Terms & Conditions grants users additional rights to third-party materials beyond those expressly provided or permitted by law.
11.12 Unauthorized Use and Enforcement
Uniquely Defined, LLC reserves the right to investigate suspected unauthorized reproduction, distribution, misrepresentation, or misuse of protected educational materials and branding.
Where appropriate and legally permitted, the Company may revoke applicable access or licensing privileges, request removal of infringing content, pursue available contractual remedies, or take other lawful steps to protect its intellectual property.
Any suspension or termination will be subject to applicable agreements and governing law.
11.13 Requests for Permission
Individuals or organizations seeking permission to reproduce, translate, adapt, distribute, co-brand beyond approved guidelines, or otherwise use protected Rhythm of the Heart™ or Wellness Elevated™ materials beyond their authorized rights should contact Uniquely Defined, LLC through the contact information published on the Company's website.
Permission must be granted in writing by an authorized representative of Uniquely Defined, LLC.
Silence, prior informal use, or purchase of educational materials does not constitute permission for additional uses.

Visitors may access and use the website for lawful personal, educational, professional, and organizational purposes, subject to these Terms & Conditions and applicable laws.
Use of the website does not grant any ownership interest or unrestricted license to its content, educational resources, trademarks, or other intellectual property.
12.2 User Responsibilities
Users agree to provide accurate and current information when making purchases, registering for training, submitting inquiries, or participating in services offered by Uniquely Defined, LLC.
Users are responsible for ensuring that their activities comply with applicable laws and these Terms & Conditions.
Users must not knowingly submit false, misleading, fraudulent, or unauthorized information through the website or associated platforms.
12.3 Account Registration and Security
Certain services, including the Rhythm of the Heart™ Facilitator Academy, may require users to create an account through a designated learning or purchasing platform.
Facilitator Academy accounts are intended for individual use only. Sharing login credentials with coworkers, colleagues, family members, or other individuals is prohibited.
Each Academy participant must maintain their own authorized account, including participants enrolled through organizational training agreements.
Users are responsible for maintaining the confidentiality of their login credentials and for activities conducted through their accounts, except to the extent resulting from unauthorized access not attributable to the user.
Users should promptly notify Uniquely Defined, LLC if they suspect unauthorized access, compromised credentials, or other account security concerns.
12.4 Prohibited Website Activities
Users may not engage in activities that compromise the security, availability, integrity, or lawful operation of the website or associated services.
Prohibited activities include:
Attempting to gain unauthorized access to accounts, systems, databases, or restricted content.

Interfering with website functionality, security measures, or service availability.
Using automated tools to extract protected content or disrupt website operations without authorization.

Submitting fraudulent orders, payment information, enrollment details, or certification claims.
Using the website to engage in unlawful, threatening, harassing, or abusive conduct.
Attempting to bypass access restrictions, payment requirements, or other legitimate security controls.
12.5 Unauthorized Use of Educational Materials
Users may not use the website, training platforms, or associated services to obtain, reproduce, distribute, sell, or share protected Rhythm of the Heart™ or Wellness Elevated™ materials beyond the rights expressly granted to them.
Prohibited activities include unauthorized sharing of Facilitator Academy lessons, assessments, downloadable resources, curriculum guides, participant workbooks, or protected instructional materials.
Permitted uses under applicable law and uses expressly authorized through individual or organizational licensing agreements are not prohibited by this section.
Additional intellectual property restrictions and permissions are described in Section 11.
12.6 Misrepresentation of Certification, Licensing, or Affiliation
Users may not falsely claim to be certified Rhythm of the Heart™ facilitators, authorized program representatives, licensed organizational partners, or agents of Uniquely Defined, LLC.
Individuals who successfully complete the Facilitator Academy may accurately describe their certification status in accordance with applicable program guidelines.
However, certification alone does not authorize delivery of the official branded program without the required active license or other written authorization.
Organizations and individuals must not imply sponsorship, endorsement, partnership, or authorization beyond the relationship expressly established in writing.
12.7 Professional and Respectful Conduct
Users participating in training programs, educational events, workshops, online discussions, or other Company-sponsored activities are expected to engage respectfully and professionally.
Harassment, discrimination, threats, intimidation, deliberate disruption, and abusive behavior toward participants, facilitators, instructors, staff, or other users are prohibited.
Uniquely Defined, LLC may take reasonable action to address conduct that interferes with the safety, integrity, or effective delivery of its educational services.
12.8 Educational Discussions and Health Information
Users participating in Rhythm of the Heart™ educational activities should respect the privacy and confidentiality of others.
Participants should not disclose another person's private health information, personal experiences, or identifying details without appropriate authorization.
Educational discussions and website resources are not substitutes for individualized medical advice, diagnosis, or treatment, as described in Section 3.
Users must not represent general educational information provided through the website or program as personalized medical guidance from Uniquely Defined, LLC.
12.9 Testimonials, Feedback, and User-Submitted Content
Users may voluntarily submit testimonials, feedback, evaluations, inquiries, and other information through designated website forms and communication channels.
Users are responsible for ensuring that submitted content is accurate, lawful, and does not violate the privacy or intellectual property rights of others.
Submission of a testimonial or feedback does not automatically authorize Uniquely Defined, LLC to publish or publicly distribute that content.
The Company will obtain separate permission before publicly using identifiable testimonials, photographs, videos, participant stories, or other personal submissions for promotional, educational, or marketing purposes.
Any authorized public use will be subject to the scope of the permission granted and applicable privacy requirements.
12.10 Third-Party Websites and Platforms
The website may contain links to external websites, learning platforms, payment processors, professional resources, or other third-party services.
These services may operate under their own terms, privacy policies, and security practices.
Uniquely Defined, LLC does not control all third-party content or services and is not responsible for their independent practices, except as required by applicable law.
Users are encouraged to review the applicable policies before providing information or completing transactions through third-party platforms.
12.11 Notice, Corrective Action, and Enforcement
Uniquely Defined, LLC may review reports of suspected violations of these Terms & Conditions and take reasonable measures to protect its website, educational services, customers, and intellectual property.
For violations that can reasonably be corrected without creating significant risk, the Company may provide notice of the concern and an opportunity to take corrective action.
Corrective measures may include removing unauthorized content, correcting inaccurate representations, securing compromised accounts, or complying with applicable licensing requirements.
The Company may take immediate action, including temporary suspension or restriction of access, when reasonably necessary to address serious security threats, suspected fraud, unlawful conduct, material intellectual property violations, threats to participant safety, or other substantial risks.
Enforcement actions will be proportionate to the circumstances and subject to applicable laws and contractual obligations.
12.12 Suspension or Termination of Website Access
Uniquely Defined, LLC may suspend or terminate access to its website, training platforms, or associated services when reasonably necessary to address material violations of these Terms & Conditions, suspected fraud, security threats, or other unlawful conduct.
Where appropriate, the Company will provide notice and a reasonable opportunity to correct the violation before imposing a permanent restriction.
Immediate suspension may occur when necessary to protect users, educational resources, intellectual property, or the security and integrity of the Company's services.
Suspension or termination of website or training platform access does not automatically invalidate a previously earned Rhythm of the Heart™ Facilitator Academy certification.
Any effect on active individual or organizational licensing rights will be governed by the applicable licensing agreement and Sections 6 and 7.
12.13 Reporting Violations or Security Concerns
Users who become aware of suspected unauthorized use of educational materials, fraudulent certification claims, account security concerns, or other potential violations may contact Uniquely Defined, LLC through the contact information published on the Company's website.
The Company will review reported concerns and determine an appropriate response consistent with applicable law and its contractual obligations.

Facilitators and organizational partners are responsible for maintaining appropriate insurance coverage when required by applicable law or their licensing or service agreements.
Certification or licensing does not authorize a facilitator or organization to make medical diagnoses, prescribe treatment, or represent itself as providing healthcare services on behalf of Uniquely Defined, LLC.
Nothing in this section eliminates responsibility that Uniquely Defined, LLC may have under applicable law for its own actions or omissions.
14.5 Professional Scope of Practice
Facilitators, educators, and other individuals using Rhythm of the Heart™ materials must operate within the boundaries of their professional education, credentials, and applicable scope-of-practice requirements.
Educational materials may not be used to imply professional qualifications, clinical authority, or medical expertise that the individual does not possess.
Facilitators are responsible for referring participants to appropriately qualified healthcare professionals when questions or concerns exceed the scope of general education.
14.6 Website and Technology Availability
Uniquely Defined, LLC makes reasonable efforts to maintain access to its website, educational platforms, digital products, and online training resources.
However, the Company does not guarantee uninterrupted or error-free operation of websites, internet connections, third-party platforms, or digital services.
Temporary interruptions may occur due to maintenance, system updates, technical difficulties, service-provider disruptions, or circumstances beyond the Company's reasonable control.
When a material technical problem prevents access to a purchased service, Uniquely Defined, LLC will review the circumstances and provide an appropriate resolution consistent with applicable law and the terms of purchase.
14.7 Third-Party Content and Services
The Company's website and educational services may contain links to or integrations with third-party websites, learning platforms, payment processors, shipping carriers, and other external service providers.
Uniquely Defined, LLC does not control the independent content, policies, or operations of third-party services.
To the extent permitted by law, the Company is not responsible for losses arising solely from the independent acts or omissions of third parties outside its reasonable control.
This provision does not eliminate any responsibility that the Company may have under applicable law or an express contractual obligation.
14.8 Limitation of Liability
To the maximum extent permitted by applicable law, Uniquely Defined, LLC and its owners, officers, employees, and authorized representatives will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of its website, educational materials, training programs, or related services, except where such exclusions are prohibited by law.
For ordinary contractual claims arising from a purchased product or service, the Company's aggregate liability will not exceed the amount paid to Uniquely Defined, LLC for the specific product or service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim, to the extent permitted by applicable law.
This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or other conduct for which applicable law prohibits limitation.
Nothing in this section restricts statutory consumer protections or remedies that cannot legally be waived.
14.9 Participant Decisions and Ordinary Activity Risks
Participants are responsible for making their own decisions concerning whether to apply general educational information to their personal circumstances.
Participants should seek appropriate professional advice before making decisions involving medical care, nutrition treatment, physical activity, or other health-related matters.
Educational activities may include discussions, demonstrations, or voluntary participation in wellness-related exercises.
Participants should communicate relevant accessibility needs or activity concerns to the event organizer when appropriate and should refrain from activities that are unsafe for them.
Nothing in this section requires participants to waive legal claims arising from negligence or other conduct for which liability cannot lawfully be excluded.
14.10 Indemnification
To the extent permitted by applicable law, independently licensed facilitators and organizational licensees agree to indemnify and hold harmless Uniquely Defined, LLC and its owners, officers, employees, and authorized representatives against third-party claims, losses, damages, liabilities, and reasonable legal expenses arising directly from their own wrongful conduct, including:
Material violations of these Terms & Conditions or an applicable licensing agreement.
Unauthorized reproduction, distribution, or commercial use of protected intellectual property.
Fraudulent conduct, intentional misconduct, or unlawful activities.
Unauthorized delivery of medical services or material misrepresentation of professional credentials.
Negligent or otherwise wrongful conduct in the independent delivery of educational programming.
Indemnification obligations apply only to the extent permitted by applicable law.
No facilitator or organizational licensee is required under this section to indemnify Uniquely Defined, LLC for the Company's own negligence, misconduct, or other liability that cannot lawfully be shifted.
Additional indemnification provisions may be established in separately executed facilitator or organizational licensing agreements.
14.11 Events Beyond Reasonable Control
Uniquely Defined, LLC will not be responsible for delays or failures to perform contractual obligations caused by circumstances beyond its reasonable control, including severe weather, natural disasters, government restrictions, significant technology disruptions, transportation interruptions, or other extraordinary events, except where applicable law requires otherwise.
When such circumstances materially affect a scheduled workshop, speaking engagement, or contracted educational service, the Company will make reasonable efforts to notify affected clients and offer rescheduling as the preferred initial resolution.
A rescheduled date must be mutually agreed upon and is subject to reasonable availability.
If Uniquely Defined, LLC cannot provide the contracted service and no mutually acceptable alternative is arranged, the Company will refund payments for undelivered services, including any unused deposit attributable to those services, consistent with applicable law and the service agreement.
Refunds will also be provided when otherwise required by law.
Client-initiated cancellations and rescheduling requests remain subject to the deposit-credit provisions established in Sections 9 and 10 and the applicable service agreement.
14.12 Applicable Law and Contractual Rights
The disclaimers, liability limitations, and indemnification provisions in this section apply only to the extent permitted by applicable law.
Nothing in these Terms & Conditions excludes rights, protections, or remedies that cannot lawfully be waived.
Where a separately executed organizational licensing agreement, facilitator agreement, or professional services contract establishes specific liability or indemnification obligations, that agreement will govern the matters it addresses, subject to applicable law.
15. Governing Law, Dispute Resolution, and Legal Jurisdiction
15.1 Governing Law
These Terms & Conditions and any disputes arising from or relating to www.uniquelydefined.org, Wellness Elevated™, Rhythm of the Heart™, and associated products and services will be governed by the laws of the State of Texas, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Nothing in this provision limits consumer rights or protections that cannot lawfully be waived under applicable law.
15.2 Good-Faith Dispute Resolution
Uniquely Defined, LLC encourages customers, website users, Facilitator Academy participants, licensed facilitators, and organizational partners to resolve disagreements through direct, good-faith communication whenever reasonably possible.
Before initiating formal legal proceedings, the parties agree to make reasonable efforts to resolve disputes informally in accordance with this section, except where immediate legal action is necessary or applicable law provides otherwise.
15.3 Written Notice of Dispute
A party seeking resolution of a dispute must provide written notice describing the nature of the disagreement, the relevant transaction or agreement, and the requested resolution.
Notices to Uniquely Defined, LLC may be submitted through the Company's designated contact information published on its website.
The Company will make reasonable efforts to acknowledge and review dispute notices and communicate with the other party regarding potential resolution.
15.4 Thirty-Day Informal Resolution Period
Unless otherwise required by applicable law or agreed upon in writing, the parties agree to allow thirty (30) calendar days following receipt of written notice to attempt to resolve a dispute through good-faith discussions.
During this period, the parties may exchange relevant information, discuss potential remedies, and seek a mutually acceptable resolution.
This requirement does not prevent either party from seeking emergency judicial relief, preserving a legal claim before an applicable deadline, or exercising rights that cannot lawfully be restricted.
15.5 Required Mediation Before Litigation
If a dispute remains unresolved following the thirty-day informal resolution period, the parties agree to participate in good-faith mediation before initiating litigation, to the extent this requirement is enforceable under applicable law.
Mediation will be conducted by a mutually acceptable neutral mediator, either remotely or at a location agreed upon by the parties.
Unless otherwise agreed in writing, each party will be responsible for its own legal or advisory expenses, and mediator fees will be shared equally, except where applicable law requires a different allocation.
If the parties cannot agree on a mediator within fifteen (15) calendar days after a written request for mediation, or if mediation cannot reasonably be arranged or completed despite good-faith efforts, either party may proceed with available legal remedies.
Nothing in this provision requires a party to forfeit a legal claim, violate an applicable filing deadline, or waive a nonwaivable right.
15.6 Legal Jurisdiction and Venue
Subject to applicable law and any valid, separately executed agreement, disputes requiring court proceedings will be brought before a state or federal court of competent jurisdiction in Texas, in a county where venue is legally proper.
The parties consent to the personal jurisdiction of such courts to the extent permitted by applicable law.
This provision does not prevent a party from bringing a claim in another jurisdiction when applicable law provides a nonwaivable right to do so or when a Texas court lacks jurisdiction.
15.7 No Mandatory Binding Arbitration
These general website Terms & Conditions do not require customers, website users, or program participants to submit disputes to mandatory binding arbitration.
If informal resolution and required mediation do not resolve a dispute, the parties retain access to appropriate court proceedings, subject to applicable law.
The parties may separately agree in writing to arbitration for a particular dispute or contractual relationship.
15.8 Small Claims and Statutory Rights
Nothing in these Terms & Conditions prevents an eligible party from pursuing a claim in small claims court or another legally available forum where such access is protected by applicable law.
Nothing in this section limits the right to contact a government agency, submit a regulatory complaint, or exercise legal rights that cannot be waived.
15.9 Separate Licensing and Service Agreements
Individual facilitator licensing agreements, organizational licensing agreements, professional service contracts, and other separately executed agreements may contain additional or different provisions concerning governing law, dispute resolution, jurisdiction, or venue.
Where a valid written agreement specifically addresses a dispute, its applicable provisions will govern that matter, subject to applicable law.
15.10 Intellectual Property and Urgent Legal Relief
Uniquely Defined, LLC may seek appropriate judicial relief to address actual or threatened unauthorized use, disclosure, reproduction, or distribution of its protected intellectual property, confidential information, or trademarks.
Nothing in this section prevents either party from requesting temporary or emergency judicial relief when legally justified.
Any such request remains subject to the jurisdiction of the appropriate court and applicable legal standards.
15.11 Severability of Dispute Resolution Provisions
If any provision of this section is determined to be invalid or unenforceable, that provision will be enforced to the extent permitted by law or, where necessary, severed without automatically invalidating the remaining provisions.
The remaining provisions will continue to apply to the extent legally enforceable.
16. Changes to Terms, Severability, and General Provisions
16.1 Changes to Terms & Conditions
Uniquely Defined, LLC reserves the right to revise or update these Terms & Conditions periodically to reflect changes in its business operations, educational programs, products, services, legal requirements, or website practices.
Updated Terms & Conditions will be published on www.uniquelydefined.org with an updated effective date and last updated date.
Material changes affecting registered customers, Facilitator Academy participants, licensed facilitators, or organizational partners will be communicated through website posting and email notice to affected registered users.
When reasonably practicable, the Company will provide at least thirty (30) calendar days' advance notice before material changes affecting ongoing services become effective.
Shorter notice may be provided when necessary to address urgent security concerns, legal requirements, or other circumstances requiring prompt action, subject to applicable law.
16.2 Effect of Changes on Existing Purchases and Agreements
Changes to these general website Terms & Conditions will not automatically modify the material terms of a previously completed purchase, an existing paid enrollment, an active individual or organizational license, or a separately executed service agreement.
Such changes will be governed by the terms in effect at the time of the applicable transaction or by the amendment provisions of the relevant written agreement, subject to applicable law.
Uniquely Defined, LLC may update general website procedures, security requirements, or administrative practices as reasonably necessary, provided such updates do not unlawfully diminish existing contractual rights.
16.3 Continued Use of the Website
Continued use of the website after updated Terms become effective may constitute acceptance of the revised Terms where legally permissible and where users have received legally sufficient notice.
Where applicable law or the nature of a material change requires affirmative consent, Uniquely Defined, LLC will obtain such consent before applying the revised provision.
Users who do not agree to revised Terms may discontinue future use of the website, subject to any continuing rights or obligations under existing purchases or agreements.
16.4 Severability
If any provision of these Terms & Conditions is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or, where necessary, severed.
The remaining provisions will continue in effect to the extent legally enforceable.
16.5 No Waiver
The failure of Uniquely Defined, LLC to enforce any provision of these Terms & Conditions at a particular time does not constitute a waiver of its right to enforce that provision or any other provision in the future.
Any express waiver must be authorized by the Company and will apply only to the circumstances identified in that waiver.
16.6 Entire Agreement
These Terms & Conditions, together with applicable policies expressly incorporated by reference and any relevant transaction-specific terms, constitute the agreement governing general website use and the products or services to which they apply.
Separate written agreements may govern Facilitator Academy arrangements, individual facilitator licensing, organizational licensing, workshops, speaking engagements, and other contracted services.
Where a valid, separately executed agreement conflicts with these general website Terms, the separate agreement will control the matters it specifically addresses, subject to applicable law.
16.7 Assignment and Transfer
Users may not transfer their individual Facilitator Academy accounts, certification credentials, or personal licensing rights to another individual or organization without prior written authorization from Uniquely Defined, LLC, except where applicable law provides otherwise.
Uniquely Defined, LLC may assign its rights or obligations under these Terms in connection with a lawful merger, acquisition, business reorganization, or transfer of relevant business assets, subject to applicable law and any required notice or consent.
An assignment will not eliminate rights or protections that users hold under applicable law or an existing enforceable agreement.
16.8 Relationship of the Parties
Nothing in these Terms & Conditions creates an employment, agency, joint venture, franchise, or legal partnership relationship between Uniquely Defined, LLC and a website user, customer, certified facilitator, or organizational licensee.
Any such relationship must be expressly established through a separate written agreement.
Certification, licensing, or purchase of educational materials does not authorize an individual or organization to enter into contracts, make representations, or assume obligations on behalf of Uniquely Defined, LLC.

Electronic records and signatures may be used where permitted by applicable law and where any required consent has been obtained.
